1. Introduction
Welcome to PrimeAgents. These Terms of Service ("Terms") govern your access to and use of the PrimeAgents platform, including our AI-powered customer service agents, booking systems, and Facebook Messenger integration services (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service. PrimeAgents is operated by PrimeAgents Inc., a company registered in the Philippines.
2. Account Registration and Eligibility
To use our Service, you must:
- Be at least 18 years old or the legal age of majority in your jurisdiction
- Be a registered business or authorized representative of a business entity
- Provide accurate, complete, and current registration information
- Maintain the security of your account credentials
- Have a valid Facebook Business Page for Messenger integration
You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.
3. Service Description
PrimeAgents provides AI-powered customer service automation that includes:
- AI Customer Service Agents: Automated conversational AI that handles customer inquiries on your behalf
- Smart Booking System: Automated appointment scheduling through chat interactions
- Facebook Messenger Integration: Direct connection to your Facebook Business Page to manage customer messages
- FAQ Automation: AI-powered responses based on your uploaded business information
- Analytics Dashboard: Insights and metrics about your customer interactions (available on select plans)
4. User Obligations and Acceptable Use
When using our Service, you agree to:
- Use the Service only for lawful business purposes
- Provide accurate business information and FAQs for AI training
- Comply with Facebook's Platform Terms and Community Standards
- Not use the Service to send spam, misleading information, or unauthorized advertising
- Not attempt to reverse engineer, decompile, or extract the AI models or algorithms
- Not use the Service in any way that could harm, disable, or impair our systems
- Monitor AI interactions and intervene when necessary for complex customer issues
- Inform your customers that they may be interacting with an AI assistant
5. Facebook Platform Integration
Our Service integrates with Facebook Messenger through Meta's official APIs. By using this integration, you acknowledge and agree that:
- You must comply with Meta's Platform Terms, Developer Policies, and Community Standards
- You authorize us to access and manage messages on your connected Facebook Page
- Facebook may modify, suspend, or discontinue their APIs, which may affect our Service
- We are not responsible for any actions taken by Facebook regarding your Page or account
- Your use of Facebook data is subject to Facebook's Data Policy
6. Payment Terms and Subscriptions
PrimeAgents offers subscription-based pricing plans:
- Billing Cycle: Subscriptions are billed monthly in Philippine Pesos (PHP)
- Payment Methods: We accept major credit cards, debit cards, and local payment methods
- Conversation Limits: Each plan includes a set number of conversations per month. Exceeding this limit may result in additional charges or service limitations
- Plan Changes: You may upgrade or downgrade your plan at any time. Changes take effect on your next billing cycle
- Refunds: Subscription fees are non-refundable except as required by applicable law or at our sole discretion
- Price Changes: We reserve the right to modify pricing with 30 days' notice
7. AI Service Limitations and Disclaimers
You acknowledge and understand that:
- AI responses are generated automatically and may not always be accurate or appropriate
- The AI learns from the information you provide; quality of responses depends on the quality of your input data
- AI cannot handle all customer scenarios and may require human intervention for complex issues
- We do not guarantee specific outcomes, conversion rates, or customer satisfaction levels
- The AI is not a substitute for professional advice (legal, medical, financial, etc.)
- You remain responsible for the accuracy of information provided to your customers
8. Intellectual Property Rights
Our Property: The Service, including all software, AI models, algorithms, designs, and content created by PrimeAgents, is owned by PrimeAgents Inc. and protected by intellectual property laws.
Your Content: You retain ownership of all business information, FAQs, and other content you provide to the Service. By uploading content, you grant us a limited, non-exclusive license to use, process, and display your content solely for providing the Service.
Customer Conversations: Conversations between the AI and your customers are considered your business data. You are responsible for compliance with applicable privacy laws regarding this data.
9. Termination and Suspension
By You: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
By Us: We may suspend or terminate your access to the Service immediately, without prior notice, if:
- You breach these Terms or violate applicable laws
- Your Facebook Page access is revoked or suspended
- You fail to pay subscription fees
- We detect fraudulent or abusive activity
- Required by law or government authority
Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
- WE ARE NOT RESPONSIBLE FOR LOSSES ARISING FROM AI-GENERATED RESPONSES, MISSED MESSAGES, OR BOOKING ERRORS
11. Indemnification
You agree to indemnify, defend, and hold harmless PrimeAgents Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you provide to the Service
- Your interactions with your customers
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall be resolved through:
- Negotiation: The parties shall first attempt to resolve disputes through good-faith negotiation
- Mediation: If negotiation fails, disputes shall be submitted to mediation in Metro Manila
- Arbitration: If mediation fails, disputes shall be resolved through binding arbitration under Philippine arbitration laws
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website
- Sending an email notification to your registered email address
- Displaying a notice within the Service
Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
